01

Purpose And Scope

This Eligibility & Restricted Jurisdictions Policy ("Policy") governs eligibility for participation in the AVX token sale conducted by Avirvox Labs FZE LLC ("Avirvox Labs", "Company", "we", "us" or "our").

Legal Entity: Avirvox Labs FZE LLC

Formation Number: 4424076

Registered Address: Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates.

This Policy applies to all individuals and legal entities seeking to participate in any private, strategic or public AVX token sale round.

Participation is subject to the AVX Token Sale Terms, applicable laws, regulatory requirements, identity and compliance verification, and any jurisdiction-specific conditions.

The availability of the official Avirvox Labs website does not constitute an offer, solicitation or authorization to participate in any jurisdiction where such activity would be unlawful.

02

General Eligibility Requirements

To participate in an AVX token sale, an individual or legal entity must satisfy all applicable requirements, including:

  • Being at least 18 years old, or the applicable legal age of majority, whichever is higher, and having full legal capacity.
  • Being legally permitted to acquire and hold AVX under applicable laws.
  • Meeting all applicable jurisdictional and regulatory eligibility requirements.
  • Providing accurate and complete information when reasonably requested.
  • Successfully completing required identity, sanctions, anti-money laundering and other compliance verification.
  • Using a supported wallet and approved payment method.
  • Complying with the applicable AVX Token Sale Terms and relevant risk disclosures.
  • Not acting on behalf of an undisclosed or legally prohibited person or entity.

Participation is not automatic and remains subject to verification, allocation availability and applicable compliance requirements.

03

International Participation And Jurisdictional Eligibility

Avirvox Labs intends to make AVX participation available internationally, subject to applicable laws, regulations and regulatory requirements.

The Company does not establish a universal country-based exclusion solely under this Policy. Eligibility is assessed according to the laws applicable to the relevant participant, transaction, distribution activity and jurisdiction.

Participation may be subject to additional conditions, including regulatory authorizations, lawful offering exemptions, participant qualifications, applicable financial-promotion requirements, identity verification or other compliance procedures.

Where participation is prohibited, restricted or requires regulatory conditions that have not been satisfied, the Company will not knowingly accept the affected participation.

Jurisdictional assessment may consider:

  • Country of residence or principal business establishment.
  • Physical location at the time of participation.
  • Country of incorporation or organization.
  • Nationality or citizenship where legally relevant.
  • Beneficial ownership and control.
  • Applicable regulatory classifications and offering requirements.
  • Sanctions and financial-crime restrictions.
  • Other legally relevant connections to a jurisdiction.

The Company may apply additional verification, restrict specific transactions or decline participation where necessary to comply with applicable requirements.

No statement in this Policy represents that AVX is authorized, registered, approved or available for unrestricted sale in every jurisdiction.

04

Sanctions And Prohibited Participation

Participation is not permitted where the participant, transaction or related activity is prohibited by sanctions or other laws applicable to the Company or the transaction.

This includes persons or entities that:

  • Are subject to legally applicable sanctions, asset-freezing measures or transaction prohibitions.
  • Are owned or controlled by prohibited persons where relevant sanctions laws apply.
  • Attempt to act on behalf of a prohibited or undisclosed beneficial owner.
  • Seek to evade legally applicable sanctions or financial-crime controls.
  • Are involved in activity presenting substantiated or unacceptable money-laundering, terrorist-financing, fraud or other financial-crime risks.

A possible sanctions or screening match may result in additional review, temporary suspension or a request for further documentation.

A screening match alone does not necessarily establish that a person is legally prohibited. The Company may evaluate the match and make a decision based on applicable law and reasonable compliance procedures.

Avirvox Labs may reject, suspend or discontinue participation where legally required or reasonably necessary to manage material compliance risks.

05

Identity Verification And KYC Requirements

Identity verification, anti-money laundering, counter-terrorist financing, sanctions screening and enhanced due diligence may be applied according to applicable law and the Company's risk-based compliance procedures.

Participants may be requested to provide:

  • Full legal name and date of birth.
  • Residential address and country of residence.
  • Government-issued identification.
  • Proof of address.
  • Nationality or citizenship where legally relevant.
  • Wallet information and transaction details.
  • Source-of-funds documentation.
  • Other reasonable information necessary for compliance verification.

The extent and timing of verification may vary according to participant profile, jurisdiction, transaction characteristics and regulatory requirements.

Final AVX allocation, claims or transfers may be withheld until all applicable mandatory verification requirements have been successfully completed.

Where applicable law requires verification before accepting funds or permitting a transaction, those requirements must be satisfied before proceeding.

The Company may use qualified third-party verification and compliance service providers, subject to applicable data- protection and confidentiality obligations.

06

Legal Entity Participation And KYB

Companies, partnerships, funds, trusts and other legal entities may participate where legally eligible and subject to applicable verification requirements.

Know Your Business ("KYB") and related verification procedures may include:

  • Legal entity name, incorporation details and registered address.
  • Certificate of incorporation or equivalent formation document.
  • Directors, officers and authorized signatories.
  • Evidence of authority to participate.
  • Ultimate beneficial ownership and controlling-person information.
  • Identity verification of relevant beneficial owners.
  • Source-of-funds information.
  • Ownership structure and relevant supporting documentation.

The Company may request additional information where the entity structure, jurisdiction, transaction or compliance assessment reasonably requires it.

Participation through a legal entity must not be used to conceal a prohibited participant or circumvent applicable restrictions.

07

Politically Exposed Persons And Enhanced Due Diligence

Politically exposed persons ("PEPs"), their relevant family members and close associates are not automatically excluded solely because of their status.

Where required by applicable law or the Company's risk-based procedures, enhanced due diligence may be conducted.

Additional review may also apply to:

  • Higher-value or unusually structured transactions.
  • Higher-risk jurisdictions.
  • Complex ownership arrangements.
  • Inconsistent or incomplete participant information.
  • Adverse screening results.
  • Unusual wallet or transaction activity.
  • Material source-of-funds concerns.
  • Other financial-crime or compliance risk indicators.

Enhanced due diligence may include further documentation, source-of-wealth or source-of-funds verification, management approval and additional monitoring where applicable.

Avirvox Labs may approve, delay or decline participation following the relevant compliance assessment.

08

Source Of Funds And Transaction Integrity

Participants must use funds and digital assets obtained through lawful means.

Where reasonably required, Avirvox Labs may request information or supporting documentation regarding the origin, ownership and legitimacy of funds or digital assets used for AVX participation.

The Company may decline, suspend or cancel participation where:

  • Required source-of-funds information is not provided.
  • Material information cannot reasonably be verified.
  • Funds or transactions appear connected to unlawful activity.
  • Applicable compliance requirements cannot be satisfied.
  • Participation presents unacceptable financial-crime or sanctions risk.

Any handling, restriction or return of received funds will be conducted in accordance with the AVX Token Sale Terms and applicable law.

09

Wallet Requirements And Transaction Controls

Participants must control, or be lawfully authorized to use, the wallet associated with their AVX participation.

Participants must not knowingly use wallets or payment arrangements intended to:

  • Conceal prohibited beneficial ownership.
  • Circumvent jurisdictional or compliance restrictions.
  • Evade applicable participation limits.
  • Facilitate unlawful or fraudulent transactions.
  • Misrepresent the actual payer or intended recipient.

Avirvox Labs may apply reasonable wallet-verification, blockchain-analysis and transaction-monitoring controls where appropriate and available.

Wallet changes, unusual transactions or materially inconsistent wallet information may require further verification.

Participants remain responsible for wallet security, accurate transaction details and compliance with applicable network requirements.

10

Multiple Accounts, Wallets And Location Controls

Using multiple wallets or accounts is not automatically prohibited, provided their use is lawful and does not circumvent applicable participation requirements.

Participants must not use multiple identities, accounts, wallets, entities or intermediaries to evade:

  • Identity or beneficial ownership verification.
  • Jurisdictional requirements.
  • Sanctions or financial-crime controls.
  • Applicable contribution limits.
  • Other legitimate sale restrictions.

Participants must not deliberately use VPNs, proxies, remote servers, misleading addresses or similar methods to conceal relevant location information or circumvent applicable eligibility restrictions.

Legitimate use of privacy or network-security technologies does not, by itself, constitute a violation of this Policy.

The Company may use reasonable location, identity, transaction and compliance indicators to verify eligibility. Material inconsistencies may result in additional review, temporary suspension or rejection where justified.

11

Professional Investor And Participant Qualification

AVX participation is not universally limited to accredited, professional, sophisticated or institutional investors solely by virtue of this Policy.

However, specific jurisdictions, offering arrangements or private and strategic sale structures may impose participant qualification requirements.

Where applicable, participants may be required to demonstrate relevant professional, accredited, qualified or institutional status and satisfy other legal conditions.

Avirvox Labs may request supporting documentation and apply transaction-specific eligibility requirements where legally necessary.

Private or strategic participation may also be subject to separately executed subscription documentation, which will govern where expressly applicable.

Nothing in this Policy represents that a particular offering is exempt from registration, licensing or other regulatory obligations unless the applicable conditions have been established.

12

Participation Limits And Allocation Conditions

There is no universal minimum or maximum participation amount established by this Policy.

Applicable limits may vary according to the sale round, participant category, jurisdiction, available allocation or compliance requirements.

Any applicable minimum or maximum contribution requirements will be communicated through the official participation process or applicable private subscription documentation.

Avirvox Labs may implement reasonable transaction, wallet or participant limits for allocation management, security, compliance or operational purposes.

Meeting minimum participation requirements does not guarantee allocation or acceptance of a purchase.

13

False Information And Circumvention

Participants must provide accurate, complete and non-misleading information when required for eligibility and compliance purposes.

Avirvox Labs may reject, suspend or cancel participation where a participant:

  • Submits fraudulent, altered or materially misleading documents.
  • Knowingly misrepresents identity, residence or jurisdictional eligibility.
  • Conceals a prohibited beneficial owner.
  • Uses another person's identity without lawful authorization.
  • Attempts to evade compliance or sanctions controls.
  • Refuses to provide information reasonably required by applicable law.
  • Engages in material fraud, abuse or circumvention of the sale process.

Decisions will be made in accordance with applicable law, reasonable compliance procedures and the relevant AVX Token Sale Terms.

14

Rejection, Cancellation And Refund Handling

Avirvox Labs may reject, suspend or cancel participation where reasonably necessary due to eligibility failure, verification concerns, sanctions restrictions, fraud risk, legal requirements, material inaccuracies or applicable sale conditions.

Submission of payment does not guarantee acceptance or final AVX allocation.

Where funds have been received and participation is subsequently rejected or cancelled, their treatment shall follow Section 9 of the AVX Token Sale Terms, subject to applicable law.

Where an eligible refund is approved or legally required, the amount will generally be based on the original USD- equivalent value of the contribution received and accepted by the official token sale system.

Refunds may be processed in USDT, USDC or another legally available method, consistent with the AVX Token Sale Terms.

Eligible refunds will ordinarily be processed within 30 calendar days following final verification and approval, subject to applicable legal requirements, mandatory restrictions and legitimate processing delays.

Funds subject to legally required freezes, investigations or other restrictions may be withheld or handled according to applicable law and competent authority instructions.

The Company will not retain participant funds merely because eligibility verification was unsuccessful where retention would be unlawful.

15

No Guarantee Of Participation

Passing an initial eligibility assessment, completing verification or connecting a wallet does not guarantee acceptance into the AVX token sale.

Participation remains subject to:

  • Applicable legal and regulatory eligibility.
  • Completion of required verification.
  • Successful payment and transaction validation.
  • Available allocation.
  • Applicable contribution limits.
  • Security and operational readiness.
  • Acceptance under the AVX Token Sale Terms.

Avirvox Labs may decline or discontinue participation where legally required or reasonably necessary to preserve regulatory, compliance, security or transaction integrity.

Any confirmed contractual rights and applicable refund obligations will be respected in accordance with the Token Sale Terms and applicable law.

16

Policy Updates, Document Priority And Participant Responsibilities

Avirvox Labs may update this Policy to reflect changes in law, regulatory requirements, sanctions measures, compliance procedures, security considerations or AVX sale operations.

The applicable version will be made available through the official Company website.

Material changes affecting previously confirmed purchases will be handled in accordance with the AVX Token Sale Terms, applicable contractual obligations and mandatory law.

This Policy should be read together with:

  • AVX Token Sale Terms.
  • KYC / AML Notice.
  • Privacy and Cookie Policy.
  • Official Avirvox Labs Whitepaper.
  • Applicable private or strategic subscription documentation.

In the event of a conflict concerning purchase allocation, token delivery, cancellation or refunds, the applicable binding AVX Token Sale Terms or separately executed subscription agreement shall govern, subject to mandatory law.

Participants are responsible for providing accurate information, complying with applicable legal obligations and independently evaluating their participation.

However, nothing in this Policy transfers or eliminates legal obligations imposed directly on Avirvox Labs.

17

Official Channels And Contact

Eligibility information and participation instructions should be obtained only through verified Avirvox Labs channels.

Avirvox Labs will never request a participant's wallet seed phrase, private key or wallet recovery credentials.

Participants should not rely on unsolicited messages or unofficial websites claiming to provide eligibility exemptions, special approval or guaranteed allocation.
